NMTA By-Laws

 

 

ARTICLE I

NAME AND PURPOSE

SECTION I NAME:
  The name of this Association shall be the New Mexico Taxidermy Association, hereinafter referred to as the Association or the NMTA.

SECTION II PUPOSE:  The purposes of the NMTA is to promote the art of Taxidermy and related fields.  This will include:

 A.       To promote the high standards in the art of taxidermy and to strive to produce the high quality work, and
 B.       To foster understanding in the general public about the field of taxidermy and other related outdoor sports industries, and
 C.       To assist members of the NMTA and the general public in their understanding of the Federal and State Game and Fish Laws, and
 D.        It will be the objective of the NMTA to assist in any way possible the conservation of all our natural resources for future generations, and
 E.        To accept funds as shall be necessary to carry out the purposes of the NMTA, and
 F.        To engage in such civic, charitable, educational, and business activities that the NMTA shall deem appropriate.

ARTICLE II

MEMBERS

SECTION I CLASSES OF MEMBERS: There shall be two classes of members defined, professional and amateur.

 A.        Professional members shall be those individuals who receive remuneration for their services and who operate or work in taxidermy or related business.
 B.        Amateur members shall be those individuals who do not receive remuneration for their services or those individuals who are interested in taxidermy or related fields.

SECTION II: All members are encouraged to obtain the permits (licenses) required by the state and Federal authorities.

SECTION III RIGHTS OF MEMBERS:  Each family membership shall have two (2) votes, single members one (1), on all matters affecting the operation of the NMTA, which shall be properly presented for their consideration at duly constituted meetings of the NMTA.

ARTICLE III

OFFICERS

SECTION I PRINCIPAL OFFICERS:  The principal officers of the association shall consist of the President, Vice-President, Treasurer, and a Secretary, and such additional officers as the NMTA may deem desirable.

SECTION II ELECTION OF OFFICERS:  The officers of the NMTA shall be elected annually by the members.  They shall hold office until their successors shall have been duly elected.  No two offices may be held by the same person.

SECTION III PRESIDENT:  The President shall be the chief executive of the NMTA.  He/She shall preside at all NMTA meetings and shall perform such other duties as may be specified from time to time by the membership.

SECTION IV VICE_PRESIDENT:  The Vice-President shall assume the duties of the presidency in the absence of the president and shall perform such other duties as may be specified from time to time by the president or the membership.

SECTION V TREASUERER:  The Treasurer shall have custody of the funds of the association.   He/She shall keep accurate records of all receipts and disbursements of the NMTA in financial books to be maintained for that purpose.  He/She shall deposit all assets in the name and to the credit of the NMTA.  He/She shall disburse the funds of the NMTA, take proper vouchers therefore and render to the NMTA such reports as they shall prescribe.  The Treasurer shall be bounded for the faithful performance of his/her duties.  All books, records and voucher of the NMTA shall be open to the inspection of any member.  The Treasurer shall at least once a year, and whenever requested by the Association render full and detailed account of all receipts and expenditures and submit a schedule showing the financial status of the NMTA, and any charges if any since the last report.

SECTION VI SECRETARY:  The Secretary shall have custody of all property and records of the NMTA except as specified.  He/she shall take accurate minutes of all meetings of the Board of Directors as well as all membership meetings.  The Secretary shall give notice of each meeting to which notice is required. The secretary shall perform such other duties as may be specified from time to time by the Association.

SECTION VII REMOVAL:   Any officer of the Association may be removed at any time, with just cause, by vote of two-thirds of the membership.

SECTION VIII VACANCIES:  Any vacancies in any office of the association may be filled for the unexpired portion of the term by majority vote of the association present at a meeting.  If such vacancy occurs between meetings the president (or if the vacancy occurs in the office of the president the vice-president)may appoint a successor to serve in such office until the next meeting of the Association.  If any officer is absent or unable to perform his/her duties, the association may delegate his power and duties, during the period of such absence or disability, to another person.  Said power and duties shall be carried out by the appointee until the next meeting of the Association.

SECTION IX REGISTRATION:  Any officer may resign his office at any time by giving written notice thereof to the secretary.  The resignation shall become effective upon the date specified therein, or if no date is specified upon the receipt thereof by the secretary.  Acceptance shall not be necessary to render the resignation effective.

ARTICLE IV

DIRECTORS

SECTION I NUMBER OF DIRECTORS:  The Board of Directors of the association shall consist of five (5) members, plus the four (4) officers.

SECTION II GEOGRAPHIC LOCATION OF DIRECTORS:  The five (5) Board members shall be elected with geographic consideration, two (2) from north of I-40, two (2) from south of I-40 and one (1) which will be the past president.

SECTION III INCUMBENT PRESIDENT:        The incumbent president shall automatically become a member of the Board of Directors for a term of one year after the presidency expires.

SECTION IV GENERAL POWER:  The property, business and affairs of the NMTA shall be under the direction and control of the Board of Directors.

SECTION V REMOVAL:  A member of the Board of Directors may be removed from office by a majority vote of the entire membership for any act or failure to act, if that act or failure to act is deemed detrimental to the purposes or activities of the NMTA.

SECTION VI RESIGNATION:  Any Director may resign his directorship at any time giving written notice thereof to the secretary.  The resignation shall become effective upon the date specified therein, or if no date is specified, upon receipt thereof by the secretary.

ARTICLE V

MEETINGS

SECTION I MEETING DATES:  The membership meetings of the NMTA shall be held at such a place and time as the Association shall determine.

SECTION II SPECIAL MEETINGS:  Special meetings may be called at any time that the Board of Directors sees fit to do so.  The membership shall be notified at least fourteen (14) days prior to the meeting.  The notice shall specify the date, place and hour of the meeting and the purpose (s) for which to convene.

SECTION II ACTION WITHOUT MEETINS:  Any action required to be taken at a meeting of members or Directors may be taken if a written consent, stating the action so taken, shall be signed by all members or directors as the case may be, who are entitled to vote with respect thereto.  Verification of consent may be made via telephone or in person to the secretary.

ARTICLE VI

QUORUM

For voting purposes, this Association will recognize the majority of the members at a duly convened meeting as a quorum.

ARTICLE VII

FISCAL YEAR

SECTION I DATE:  The fiscal year of the NMTA shall be form the first day of January through the last day of December.

SECTION VIII

DISSOLUTION

A resolution to dissolve the Association and wind up its affairs shall be initiated by the resolution of the Directors recommending such a dissolution and directing that the question be submitted to a vote of the members.  The resolution of dissolution shall thereafter be adopted by vote of not less than two-thirds of the entire membership of the NMTA, at a meeting duly convened for that purpose, pursuant to written notice stating such purpose.  Notice shall be given as provided in Article V, section II of these By-Laws.  Upon adopting of such resolution by the members the association shall cease to conduct its business, except insofaras may be necessary for the termination thereof.  It shall immediately cause a notice of the proposed dissolution to be mailed to each of its known creditors, and shall proceed to collect its assets and distribute them as the membership shall see fit.

ARTICLE IX

AMENDMENTS

These By-Laws of the NMTA may be amended by a majority vote of the membership at a duly convened meeting, after having been read at two (2) consecutive meetings, provided that the substance of the amendment has been stated in the notice of such meeting or in a duly completed waiver of notice thereof and adopted by a majority of the membership.
